These Terms and Conditions (“Terms”) govern your access to and use of Procuvios’s website, located at procuvio.com (the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1) Who We Are

The Site is operated by Procuvio (“Company,” “we,” “us,” “our”). We publish educational content and may offer consulting services related to technology strategy, evaluation, procurement, and vendor negotiation.

2) Educational Content Only (No Professional Advice)

All content on the Site—including articles, guides, templates, checklists, tools, calculators, benchmarks, pricing ranges, research summaries, videos, newsletters, and other materials (collectively, “Content”)—is provided for general informational and educational purposes only.

The Content is not legal, tax, accounting, investment, or professional procurement advice and does not create a client-consultant relationship. You should consult qualified professionals for advice tailored to your situation.

3) Lead Magnets, Email Collection, Advertising, and Marketing Communications

Some Content is offered through downloadable resources, newsletters, or similar materials (each a “Lead Magnet”) that require you to submit information such as your name and email address.

By submitting your information to receive a Lead Magnet, you agree that:

A. Consent to Email Communications
You consent to receive emails from us, which may include:

• the requested Lead Magnet,

• related educational content and updates,

• offers and announcements about our services, and

• advertising, including sponsored content, partner promotions, affiliate links, and/or paid placements.

B. Ads + Affiliate / Partner Relationships
You understand that:

• Some links may be affiliate links, meaning we may earn a commission if you click or purchase—at no additional cost to you.

• We aim to label sponsored/paid placements in a reasonable way, but you should assume some content may be promotional.

C. Opt-Out
You can unsubscribe at any time using the “unsubscribe” link in our emails. Unsubscribing may prevent you from receiving future Lead Magnets or updates, but will not affect transactional messages related to a request you made (e.g., delivering a resource you requested).

D. Accuracy + Permission
You will provide accurate information and will not submit someone else’s email address without their permission.

E. No Guarantee of Availability
We may change, pause, or discontinue any Lead Magnet at any time.

4) Competitive Pricing and Benchmarking Disclosures

The Site may include pricing-related information such as ranges, averages, benchmarks, discount bands, negotiation tips, or “market pricing” commentary. You understand and agree that:

1. Estimates Only: Pricing information is illustrative and may be outdated or incomplete. It may not reflect your final price or terms.

2. Aggregated / De-Identified Data: If we reference benchmarks derived from third-party sources or prior engagements, we present information in an aggregated and/or de-identified manner designed to avoid disclosure of any specific company’s confidential data.

3. No Confidentiality From Browsing or Opt-Ins: Viewing the Site or opting in for a Lead Magnet does not create a confidentiality obligation on our part. If you want confidentiality, contact us to discuss an NDA before sharing sensitive information.

4. Your Responsibility: You are responsible for complying with your obligations to vendors (including confidentiality, non-disclosure, and acceptable use clauses) and applicable laws when sharing or using pricing data.

5) No Guarantees; Use at Your Own Risk

Technology purchases, vendor negotiations, and pricing outcomes vary by industry, company size, contract terms, timing, region, and many other factors. You acknowledge and agree that:

• We do not guarantee cost savings, contract outcomes, pricing, performance, vendor behavior, or business results.

• Any actions you take based on the Content are taken at your own risk.

6) No Endorsement of Vendors

We may mention third-party products or services. Unless explicitly stated, references are not endorsements, partnerships, or sponsorships. Vendor names and logos may be trademarks of their respective owners.

7) Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site.

8) Acceptable Use

You agree not to:

• Use the Site for unlawful purposes.

• Attempt to gain unauthorized access to the Site or systems.

• Scrape, crawl, or harvest Content at scale without our written permission.

Unless we have a separate written agreement (like an NDA or consulting agreement), you agree that:

• We may use Submissions to operate and improve the Site, create and deliver Lead Magnets, and communicate with you.

• If you provide pricing or contract-related information, we may create aggregated and/or de-identified insights from it, so long as we do not intentionally disclose your confidential information.

11) Third-Party Links

The Site may contain links to third-party websites. We do not control them and are not responsible for their content, policies, or practices. Use third-party sites at your own risk.

12) Disclaimers

THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCUVIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY.

IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED $100 OR THE AMOUNT YOU PAID US (IF ANY) TO ACCESS THE SITE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, WHICHEVER IS GREATER.

14) Indemnification

You agree to defend, indemnify, and hold harmless Procuvio and its officers, directors, employees, and contractors from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

15) Changes to the Site and Terms

We may modify or discontinue any part of the Site at any time. We may also update these Terms from time to time. Changes are effective when posted. Your continued use of the Site after changes means you accept the updated Terms.

16) Termination

We may suspend or terminate your access to the Site at any time if we believe you violated these Terms or used the Site in a way that could create risk for us or others.

17) Governing Law; Venue (Ohio)

These Terms are governed by the laws of the State of Ohio, without regard to conflict of laws principles. Any dispute will be brought exclusively in the state or federal courts located in Hamilton County, Ohio, and you consent to jurisdiction and venue there.
